YOUNIQ AG completes successful merger-related squeeze-out with CMS support

Düsseldorf – The largest private German provider of student accommodation, Frankfurt-based YOUNIQ AG, has successfully completed the merger-related squeeze-out approved by the company’s general meeting in December 2015. As a result of the squeeze-out, all the shares held by minority shareholders have been transferred to majority shareholder Corestate Ben BidCo AG of Frankfurt, and YOUNIQ AG has been merged into Corestate Ben BidCo AG.

Going forward, Corestate Ben BidCo AG will thus act as Group parent for the YOUNIQ Group. The successful merger-related squeeze-out marks the completion of the acquisition activity undertaken by Corestate Ben BidCo AG with regard to YOUNIQ AG, which began in 2014.

A CMS team headed by lead partner Daniel Kamke advised YOUNIQ AG on all legal aspects throughout the squeeze-out and merger process. The instructions comprised advice provided to the Board of Directors of YOUNIQ AG in all issues involving stock corporation law, capital markets, conversion law and employment law.

YOUNIQ AG was listed on the Prime Standard segment of the Frankfurt Stock Exchange until 2015. Following the recent downlisting to the Entry Standard segment, the stock will shortly be de-listed. The company will continue to operate in the student accommodation sector. It currently manages around 2,500 premium student apartments across Germany. Corestate Ben BidCo AG was advised by Allen & Overy, Düsseldorf, led by Dr Christian Eichner.

The Supervisory Board of YOUNIQ AG was advised by Kluth Rechtsanwälte, Düsseldorf, with Dr Jochen Herbst in the lead role.
