Ben is a corporate Senior Associate based in the CMS London office, who advises predominantly on private equity investments. He has extensive experience advising private equity houses on platform acquisitions, portfolio companies on their buy and build projects, and management teams in relation to sale processes and reinvestments. Ben has a particular focus on advising on complex multi-jurisdictional and cross-border transactions, and has experience working with a large number of CMS offices as a result.

Ben has sector specialisms in the Software, TMT, Education and Sport fields, having advised on a number of transactions in these areas.

Relevant experience

  • Everfield UK – advising the software company acquisition vehicle of Aquiline Capital, on all of its acquisitions in the UK and advising on several other European acquisitions.
  • Horizon Capital – advising on its leveraged buyout of TopSource Worldwide (a global Employer of Record and payroll services provider), as well as advising on all subsequent bolt-on transactions.
  • The Hearn Family – advising on the sale of a minority interest in the Matchroom group to Pitch International.
  • VisionEdgeOne – advising the VE1 fund on its first acquisition, being the acquisition of Inurba Mobility (CityBike Global), the multi-national micro-mobility group. 
  • Limerston Capital – advising on its acquisition of and investment in the Village Bakery Group and subsequent sale of the group.
  • CBPE Capital – advising on their acquisitions of the legal services firm Horwich Farrelly and the property risk management and compliance firm, Tetra Consulting;
  • Swiss Life and Vesper Infrastructure Partners – advising on their joint acquisition and investment in the pan-European diagnostic imaging operator, Rad-X.
  • Phillips 66 – advising on their sale of its Germany and Austria retail marketing business, including JET-branded sites, to a consortium owned by subsidiaries of investment firms Energy Equation Partners and Stonepeak.
  • Limerston Capital – advising on the acquisition of Concept Life Sciences by way of a carve out from the Spectris Group.
  • August Equity advising on its leveraged buyouts of each of: (i) Orbis Education; and (ii) Sunlight Education Nucleus, both providers of education and care services.
