Howard Mayers is a senior associate in the Tax team advising on a broad spectrum of corporate tax matters with a particular focus on the real estate sector and REITs. He regularly acts for institutional investors, investment managers, corporates, and financial institutions on an extensive range of transactional and advisory matters. Howard has significant experience advising on tax structuring and planning, direct real estate transactions, corporate acquisitions and disposals, reorganisations, banking, debt capital markets and real estate focused funds transactions. 

Prior to joining CMS, Howard was an associate in the Tax department of another leading international law firm where he advised on banking transactions (particularly real estate finance, and projects and infrastructure), international debt capital markets (including securitisations, CLOs, note issuances and Islamic finance), funds and asset management matters, corporate mergers and acquisitions, reorganisations and joint ventures.

Relevant experience

  • A leading student accommodation provider on its conversion to a UK REIT.
  • A global real estate investment manager on a restructuring of the UK assets of a pan-European fund into a UK REIT, providing structuring and transactional advice.
  • A privately held real estate investment firm on its raising of third-party co-investment in its European opportunities fund and related structuring.
  • A global investment manager on the acquisition of 76 commercial properties across the UK, including the related structuring, and the subsequent disposal of certain assets.
  • A global real estate investment manager on a series of forward funding arrangements in respect of logistics assets in the UK. 
  • Lenders and borrowers on various real estate finance transactions, including multi-jurisdictional acquisition and development financing for logistics assets, data centres, student accommodation and offices.
