Jason is a Partner in the tax team in London and joined CMS in 2012. 

Jason advises on all aspects of UK corporate taxation, with a primary focus on mergers and acquisitions, joint ventures and tax structuring. Jason has extensive experience in the energy, infrastructure and private equity sectors where he provides tax advice to developers, utilities, funds, private equity sponsors, other financial investors and management teams.

Jason is also well known and highly regarded in the W&I insurance market.

Relevant experience

  • Macquarie Asset Management and BCI on acquiring a 60% stake in National Grid’s UK gas transmission and metering business for an implied enterprise value of £9.6bn.
  • SSE on the £1.2bn sale of a 33.3% stake in SGN to OTPP and Brookfield and the GBP 621m sale of a 16.7% stake to ADIA.
  • National Grid and SSE on the £4bn Eastern Link 2 joint venture, a new high voltage subsea cable transporting clean energy from the north of Scotland to England.
  • Brookfield Asset Management on its 50/50 joint venture with KKR in respect of X-Elio (one of the largest global solar platforms with projects in multiple jurisdictions) and on its subsequent acquisition of the remaining 50% interest from KKR.
  • A consortium comprised of GLIL Infrastructure and Octopus Energy Group on the acquisition of a 12.5% interest in the Hornsea One offshore wind farm from Global Infrastructure Partners.
  • The Renewable Infrastructure Group Limited and a consortium investor on the acquisition of a 20% interest in the 714MW East Anglia One offshore wind farm from Green Investment Group.
  • EDF Renewables UK on the sale of a 49% interest in Blyth I offshore wind farm to Tenaga Nasional Berhad and the resulting 51/49 joint venture.
  • The Renewable Infrastructure Group Limited and Equitix on the acquisition of a 25% interest in the 1.2GW Hornsea One offshore wind farm.
  • Aviva Infrastructure Fund on their broadband infrastructure investments in TrueSpeed, County and ITS in the UK and additional funding rounds.
  • Horizon Capital on its leveraged buyout of Dains Accountants, an accountancy group, together with ten additional bolt-on acquisitions and subsequent exit to IK Partners.
  • QPE on its acquisition of Encore, an award-winning specialist property management solutions provider, together with various additional bolt-on acquisitions and subsequent exit to Fidelio Capital.
  • August Equity on various buyouts, portfolio company matters and exits, including the exit of Agilio to TA Associates and Five Arrows.
