Jennifer is a Senior Associate in the Corporate Team.

Jennifer qualified in February 2016 and joined CMS in March 2018 as an associate and advises on a broad range of private and public M&A with a particular focuses on advising on equity capital market transactions. Jennifer acts for both commercial and fund issuers as well as a number of banks on various equity capital market mandates including IPO’s, secondary fundraisings, takeovers, placings, investment manager appointments and a restitution scheme following an FCA investigation into market abuse. In 2021, Jennifer completed a 7 month secondment at Goldman Sachs working within their Investment Banking division.

  • Sequoia Economic Infrastructure Income Fund Limited on various fundraisings including most recently a GBP 300m fundraising comprising an open offer, placing and offer for subscription and the constitution of a share issuance programme.
  • Aquila European Renewables Income Fund plc on its establishment, IPO, EUR 155m fundraise and listing on the premium segment of the Official List and the London Stock Exchange’s main market.
  • Capital and Regional plc on the recommended GBP 72.5m partial offer and GBP 77.9m share subscription by Growthpoint Properties Limited.
  • Redcentric plc on the implementation of a restitution scheme designed to compensate shareholders for alleged market abuse together with a firm placing and subscription of GBP 5.775m.
  • Primary Healthcare Properties plc on its GBP 392m merger with Medicx Fund Limited implemented by way of a scheme of arrangement.
  • KKV Secured Loan Fund on its replacement of investment manager and continuation vote in relation to both its Ordinary and C share classes.
  • RWS Holdings plc on its GBP 850m combination with SDL plc implemented by way of a scheme of arrangement.
  • Stifel Europe Nicolas Limited in relation to their role as sponsor in relation to their migration from the Specialist Fund Segment to the Main Market and as placing agent on various fundraisings for Supermarket Income REIT plc, listed on the Specialist Fund Segment, including most recently a GBP 300m fundraising by way of a placing and offer for subscription.
  • J.P. Morgan Cazenove in relation to their role as sole bookrunner on the USD 100m IPO and admission to the Specialist Fund Segment of Riverstone Credit Opportunities Income plc.
  • Numis Securities Limited in relation to their role as NOMAD and broker to AIM listed Benchmark Holdings plc on a GBP43m fundraising by way of a placing and open offer.
  • Numis Securities Limited in relation to their role as placing agent for Horizon Discovery Group plc on their GBP 6.9m fundraise by way of a placing.
  • Winterflood Securities Limited in relation to their role as sponsor and placing agent to Blackrock Frontiers Investment Trust plc in respect of the rollover of BlackRock Emerging Energy Europe plc by way of a scheme of reconstruction and voluntary winding up and the issue of 7.5 million C Shares by way of a placing and offer for subscription.
  • Winterflood Securities Limited in relation to their role as sponsor and placing agent on the GBP 100m IPO of M&G Credit Income Investment Trust plc and admission to the premium segment of the Official List and the London Stock Exchange’s main market.
  • Investec Bank plc in relation to its role as NOMAD and joint bookrunner and Fidante Capital in relation to its role as joint bookrunner for Yew Grove REIT plc on its EUR 75m IPO and dual listing of its shares on AIM and the Irish Stock Exchange.
  • Arden Partners plc and Shore Capital Stockbrokers Limited in relation to their role as joint bookrunners for Serinus Energy plc on their USD 20m fundraise by way of an placing through an accelerated bookbuild and a separate subscription by EBRD.
  • The Property Franchise Group plc on its acquisition of Hunter Property PLC for GBP 24.2m implemented by way of a scheme of arrangement.
