Kate Darracott is a partner in our Corporate Transactions team. She specialises in international capital markets transactions, advising issuers, investors and banks on debt and equity offerings across the UK and US markets. She also advises on corporate law compliance, disclosure and governance matters. Her practice is focused on delivering clear, commercially driven guidance that enables clients to navigate regulatory complexity with confidence, execute transactions efficiently, and achieve their strategic objectives. Her clients span a diverse range of organisations - including companies, funds, banks, broker-dealers, and investment trusts - ranging from FTSE 100 leaders to high-growth start-ups. She works across a broad spectrum of sectors, including technology, energy, finance, biopharma, and retail.

As an attorney admitted to the Bar of New York State and qualified as a solicitor in England & Wales, Kate has a particular expertise in advising clients outside the US on compliance with US securities laws in the context of cross-border transactions and capital raising.

Kate is listed in the Legal 500 as a Next Generation Partner in Corporate and Commercial Law. Previously based in New York and London, Kate joined CMS in 2019 from a major US law firm.
