Kate Darracott is a partner in the Corporate Department. She specialises in international and domestic capital markets transactions (e.g. international public offerings, equity, debt and convertible follow-on offerings and private placements), strategic investments and acquisition financing. She also advises corporate clients on securities law compliance and disclosure questions as well as corporate governance matters.

As an attorney qualified in New York State, Kate has advised on a broad range of complex international transactions. Her clients range from fortune 500 companies to start-ups across a variety of sectors, including energy, finance, pharmaceuticals and biotech, technology, retail and e-commerce, amongst others. 

Relevant experience

  • A variety of UK private limited companies and European companies in connection with potential initial public offerings and admissions to trading on the main market of the London Stock Exchange
  • NatWest Markets Plc on the establishment of its $10 billion medium-term notes program, admitted to trading on the Main Market of the London Stock Exchange
  • Centogene AG on its €51 million SEC-registered initial public offering and listing on NASDAQ 
  • The underwriters in connection with Cellectis S.A.’s $164 million SEC-registered stock offering and listing on NASDAQ 
  • The underwriters in connection with Deutsche Bank AG’s €8.6 billion rights offering on the Frankfurt and New York Stock Exchanges and for the establishment of Deutsche Bank AG’s MREL compliant $2.3 billion senior debt program
  • The underwriters in connection with First Data Corporation’s $2.5 billion SEC-registered initial public offering and stock exchange listing on NASDAQ, the largest IPO in the world that year 
  • Visa Inc. in connection with an SEC-registered $16 billion debt financing for the acquisition of Visa Europe, as well as advice on various compliance, disclosure and corporate governance matters 
  • The underwriters in connection with the SEC-registered offering of $570 million of common stock of General Motors Company, sold by the U.S. Department of the Treasury
  • AstraZeneca Plc in connection with their $2.9 billion, $2.9 billion, and $5 billion debt issuances and ongoing disclosure, reporting and compliance matters
  • A leading U.S. private property fund on various securities transactions in connection with financing their portfolio
