Laura advises on commercial contracts which have a technology focus across a number of different industry sectors including life sciences, financial services and energy. She is a specialist in:

  • non-contentious intellectual property matters;
  • information technology; and
  • complex technology licences.

Laura’s specialism in non-contentious intellectual property has led her in recent years to a focus on the life sciences sector where she has advised on wide range of commercial contracts relating to all phases of a product’s life cycle from initial research and development and clinical trials through to licensing and commercialisation.  Additionally, she has been involved in several substantial transactional matters both for early stage companies and more mature businesses relating to the sale and acquisition of individual pharmaceutical products and medical devices. 

Laura is a member of CMS’ Lifesciences Sector Group and is a committee member for the CMS Lifesciences Associates Network.

Relevant experience

  • A global partnership working to accelerate the development of vaccines and other biologic countermeasures against epidemic and pandemic threats on various complex vaccine development agreements including whilst on secondment.
  •  Advanz Pharma, a global pharmaceutical company, on its exclusive licence and supply agreement with Applied Therapeutics Inc for the commercialisation of AT-007, an orphan drug in development for the treatment of several rare neurological diseases, including Galactosemia, SORD deficiency and PMM2-CDG, where there is a significant unmet medical need particularly in neonates.
  •  Essential Pharmaceuticals, a pharma business, on the sale to Rosemont Pharmaceuticals of its oral liquids portfolio of products and the acquisition from Rosemont Pharmaceuticals of a portfolio of products, in each case through a suite of agreements including product rights agreements, supply agreements, IP licences and quality agreements.
  • An IoT-enabled client (which has developed an in-ear monitoring solution to predict and prevent incidents in various workplaces settings) on a variety of commercial agreements including creating its standard form documentation and advising on commercial contracts with third parties, including manufacturing and marketing agreements and a licence-in of third party location related software.

Laura specialises in commercial contracts with a technology edge and is experienced in drafting and negotiating a wide variety of complicated IT related commercial agreements.  Her in-depth knowledge of IP and data protection law makes her particularly adept at finding solutions to complex legal problems posed by new technology.  She is also incredibly strong both on technical drafting and in negotiations, particularly in multi-supplier arrangements. 

Relevant experience

  • A collaborative platform-as-a-solution project for a financial services company in respect of innovative pension and ISA investment products.
  • A European logistics provider on a warehouse logistics agreement with a leading telecoms provider. 
  • A German Bank on the major outsourcing of a payment solution and related services for use in the bank’s branches in the UK, Germany, Hong, Kong, Singapore and the USA. 
  • An online travel retailer on: (i) an outsourcing agreement for core IT infrastructure (data centre, WAN and end user services); (ii) an outsourcing agreement for an integrated airline operations IT solution to facilitate its airline operations management and disruption recovery services; and (iii) a subscription services agreement to provide a customer facing on-line self-service portal to assist in addressing its obligations under the Flight Compensation Regulation 261/2004. 
  • Part of a large team advising a UK bank on various contracts in connection with a “greenfield”  IT transformation project including first generation outsource agreements.
  • An investment manager on significant variations to an agreement for  business critical software products to support front, middle and back office wealth management requirements including a variation to the agreement to enable the development of new interfaces to ensure end to end capability between front, middle and back offices.
