Ted Rhodes leads our Brazil Desk in the UK and was the Managing Partner of our Rio de Janeiro office from 2009 to 2022.  He is also a founding member of our CMS Latin America steering committee and works across a number of countries in the region.

Ted is the head of our Mining & Minerals group and advises on international corporate transactions, investments, projects and commercial contracts, particularly in the oil and gas, energy, mining, natural resources and infrastructure sectors.  He has extensive experience in cross-border transactions, including M&A, joint ventures and investments into and out of South America.

Ted has thorough knowledge of the energy and resources industry globally, having also advised on matters across Europe, Africa, Asia, Australasia and the Americas. He understands his clients’ commercial drivers and concerns, negotiating and drafting agreements to protect their interests and mitigate operational risks.

With more than 450 energy and climate change lawyers, including over 100 partners, the CMS Energy and Climate Change practice is one of the largest of its kind in the world. Relevant experience

  • Serabi Gold on Vale’s funding of exploration for copper and other base metals on its mining properties in northern Brazil, including an earn-in agreement, granting of options to subscribe for shares in a newly incorporated joint venture company, further put and call options, shareholders’ agreement and company constitutional documents, as well as a net smelter royalty and priority offtake rights for Vale.
  • Flotation Energy in relation to their successful applications for rights over two sites for the development of floating offshore wind farms for the decarbonisation of oil and gas installations, through the Crown Estate Scotland’s INTOG leasing round.
  • Eneva on various matters, including in relation to coal supply contracts for its thermal power projects in Brazil, and on the financed acquisition of a land-based drilling rig.
  • PetroRio in the financed acquisition of an 80% operated interest in the Tubarão Martelo mature offshore oil field and the associated oil production platform (FPSO).
  • HydraWell Intervention on multiple tenders to provide well perforation, washing and cementing services for oil and gas operations offshore Brazil.
  • Amplio Group in coordinating due diligence and tax structuring advice for the potential acquisition of up to 3GW of wind and solar projects in Brazil, and on the acquisition of four ready-to-build solar projects totalling 238MWp of installed capacity and various licensing and project development issues.
  • European Oil Company in relation to its sale of oil and gas assets and corporate entities in Peru and Argentina.
  • Colombian Ministry of Mines & Energy in producing a comparative study of upstream oil and gas regimes in Brazil, Mexico, the U.K. and Angola, as compared with Colombia’s existing model, and advising on changes to its E&P Contracts to make them more attractive to international oil companies.
  • Brazilian Sellers on the sale of a 494MWp solar power project in Minas Gerais, Brazil, to a major European infrastructure fund, including SPA and option agreement, shareholders’ agreement, development services agreement, land use deeds and ancillary documentation.
