Highlights of our experience in Equity Capital Markets

  • Sequoia Economic Infrastructure Income Fund (SEQI) on a £300m placing, open offer and offer for subscription and further £300m share issuance programme.
  • Primary Health Properties plc on its c.£140m placing. Proceeds of the placing will be used to fund PHP’s short-term pipeline of £92m of acquisitions and developments and active asset management projects totalling around £36m.
  • Rank Group on a £70m placing and retail offer and associated related party transaction.
  • APG Asset Management N.V. (APG) on a £551.7m underwritten rights issue undertaken by Hammerson in parallel with advising APG on the associated related party transaction and shareholder circular in relation to the £274m purchase of substantially all of Hammerson plc’s stake in VIA Outlets (VIA), a leading European premium outlet operator with 11 outlets in nine countries.
  • Aquila European Renewables Income Fund (AERIF) on a €155m placing programme and offer for subscription.  The Fund, managed by Aquila Capital  (the alternative asset management division of Aquila Group) is listed on the premium segment of the London Stock Exchange and is designed for investment in a balanced portfolio of renewable energy assets, including hydropower, across continental Europe and Ireland. This matter will allow AERIF to continue to diversify its current portfolio of renewable energy assets, including five onshore wind parks in the Nordic region and 21 hydro power plants in Portugal.  This is the second significant placing we advised our long-standing client AERIF on in 2020 - we also advised on a €40m placing which was upsized. 
  • Urban & Civic plc, the leading Master Developer of strategic UK land sites, on a £506 million recommended cash offer from global charitable foundation the Wellcome Trust. Wellcome acquired Urban&Civic’s entire issued share capital by means of a scheme of arrangement.
  • Big Yellow Group on a £81.9m placing effected by an accelerated bookbuild for the UK’s leading listed storage provider, Big Yellow Group.
