A CMS Vienna team has provided legal advice to the Zurich-based Goldbach Group, one of the pre-eminent marketers and brokers of digital and linear advertising in Switzerland, Germany and Austria, on the sale of its subsidiary Goldbach Austria GmbH to Azerion, one of Europe’s leading digital advertising and entertainment media platforms. The transaction is still subject to the customary conditions, including regulatory approvals.
“We are pleased to have contributed to the successful signing of the transaction, and – by leveraging our comprehensive cross-border M&A expertise – supporting our client on the implementation of its strategic goals,” says Alexander Rakosi, a partner at CMS and member of the Corporate Transactions team in Vienna.
As a key player in the European media landscape, Azerion applies advanced technology, substantial resources and vast inventory across all screen media. Goldbach Austria’s large network of partners and unique reach across Austrian audiences will make Azerion one of the most significant actors in the digital advertising market of the German-speaking countries. The strategic partnership marks a major step forward for both companies, promising to drive growth, spark innovation and create attractive advertising opportunities.
In addition to lead partner Alexander Rakosi and lead attorney Marie-Christine Lidl, the interdisciplinary CMS team included attorney Lisa Oberlechner (all Corporate/M&A), as well as partner Dieter Zandler and associate Alexander Sommergruber (both Competition). The team provided comprehensive advice on all matters relevant to the transaction and on questions of competition law.
