CMS advises Absolute Motors on acquiring the insolvent company UBC Composites
Düsseldorf – The AM Group is a leading B2B distributor and manufacturer of high-quality aftermarket vehicle parts designed for the modification and personalisation of luxury vehicles. An AM Group company has acquired the business operations of the insolvent UBC Composites GmbH, a leading European specialist in high-quality carbon fibre components for aesthetic and structural applications, by way of a sale. After insolvency proceedings were opened in June 2025, UBC Composites GmbH continued to operate under self-administration until it was taken over by the AM Group. At the same time, Urban Parts Europe B.V., another AM Group company, acquired all shares in UBC Composites Slovakia s.r.o., a subsidiary of UBC Composites GmbH.
The acquisition secures strategic advantages for the AM Group, consisting of GP Products, Absolute Motors GmbH and Urban Automotive with branches in Europe and the USA, in the automotive sector, which is facing growing demand for lightweight components and sustainable materials. The acquisition of the Slovak subsidiary also opens up access to the Eastern European market with a low-cost production site.
A German-Slovak CMS team led by Dr Maximilian Seidel-Hacker provided the AM Group with comprehensive legal advice in connection with the transaction. Self-administration of UBC Composites GmbH was handled with the support of the law firm PLUTA.
