CMS advises Luxcara on acquisition of majority stake in Trianel's 900 MW large-scale battery storage project

Hamburg – Luxcara has acquired a majority stake in a large-scale battery energy storage project by Trianel under development in Waltrop (NRW). The overall project is currently one of the largest BESS projects in Europe. The sub-project acquired by Luxcara will have a capacity of 520 megawatts, and its construction is scheduled to begin in 2026. At the same time, Luxcara, Trianel GmbH and the Swiss company BKW AG have founded a joint venture to develop and construct the infrastructure required for the overall project in Waltrop.

A CMS team headed by lead partner Dr Holger Kraft advised Luxcara on all legal aspects of the acquisition of the majority stake. In addition to the due diligence, which focused on approval, grid connection and land issues, the advice also included the in part trilateral negotiations of the complex transaction documents. Luxcara is a long-standing client of CMS and has relied on the advice of Dr Holger Kraft in particular for many years.

Luxcara is an independent asset manager that creates equity and debt investment opportunities for institutional investors in the clean energy infrastructure market. The Hamburg-based company was founded in 2009. Luxcara acquires, structures, finances and operates sustainable energy infrastructure projects. In addition to wind power and photovoltaic systems, Luxcara's portfolio also includes infrastructure such as charging stations for electric vehicles and the production of green hydrogen.

Trianel is a German municipal utility cooperation with its registered office in Aachen. BKW is a global energy and infrastructure company with its registered office in Bern, Switzerland.
