Frankfurt/Main – Saarland-based Nanogate SE, a leading global specialist for design-oriented high-tech surfaces and components, is acquiring the plastics division of Austrian firm HTI High Tech Industries AG. The deal is part of Nanogate SE’s ongoing expansion strategy.
The purchase price will be paid in stock only as part of a non-cash capital increase of 275,000 shares. HTI will immediately transfer these shares to a subsidiary of QInvest LLC, which intends to hold the shares for the long term. A QInvest LLC subsidiary is already a financing partner of HTI. QInvest also plans to provide financial support for Nanogate’s continued growth. The parties expect to close the deal in the first quarter of 2018.
After completion of the transaction, Nanogate will fully integrate the HTP Slovakia and HTP Electronics (Austria) subsidiaries into the Nanogate Group. In addition, Nanogate will acquire HTP Austria as part of a strategic partnership with QInvest that includes a subsequent purchase option.
An international CMS team from Germany, Austria and Slovakia headed by German CMS partner Katja Pohl and Alexander Rakosi advised Nanogate SE on all legal aspects of its expansion.

This is not the first time that Nanogate SE has relied on the expertise of CMS. At the start of the year, Nanogate was advised by CMS on the acquisition of a US-based company.
