CMS advises owner on the sale of his shareholdings in Memphis Electronic to Walden International

Frankfurt/Main – CMS has advised one of the private shareholders of Memphis Electronic AG and Memphis Electronic Hongkong Ltd. (Memphis Electronic) on the sale of his shareholdings in Memphis Eletronic to Walden International. The other shareholders of Memphis Electronic sold their shareholdings in parallel to Walden International.

The international CMS team successfully advised one of the private owners on the sale of his shareholding in Memphis Eletronic as well as on foreign direct investment (FDI) proceedings in Germany. The acquisition agreement had already been signed on 22 December 2020. On 30 September 2021, following the successful completion of the regulatory proceedings both in Germany and China, the transaction was closed. 

Memphis Electronic is a globally active specialized distributor of memory semiconductor devices. Founded in Germany in 1991, the company mainly serves small and medium-sized customers. With more than 20 lines, Memphis Electronic has a wide product portfolio. In Hong Kong, Memphis Electronic also manufactures its own memory modules for use in commercial computers.

Walden International was founded in Silicon Valley in 1987 and is a leading global investment firm focused on investments in the technology sector. In addition to its headquarters in San Francisco in the USA, Walden International has offices in six other locations in Asia Pacific and Israel. The Walden International's team has a cross-cultural background and extensive experience in the semiconductor industry. The investor and the specialist for memory products aim to continue Memphis Electronic’s global growth story together.
