Stuttgart – Reutlingen-based textile machine manufacturer STOLL is being sold to the Karl Mayer Group. The Karl Mayer Group is seeking to acquire the Stoll Group’s operational business, including key subsidiaries. The transaction is currently awaiting approval from foreign competition authorities. The parties agreed not to disclose details. Closing is expected mid-year.
A CMS team headed by lead partners Dr Claus-Peter Fabian and Dr Alexandra Schluck-Amend provided H. Stoll AG & Co. KG with cross-border advice on all legal aspects of the transaction. The transaction, which was structured as an asset deal, also included the sale of foreign subsidiaries in China, the US, Italy and India.
The Reutlingen-based Stoll Group is engaged in the manufacture and sale of electronic flat knitting machines, describing itself as an international industry leader in flat knitting machine technology. The company has production facilities in China and maintains sales companies in Europe, Asia and North America. STOLL offers innovative tools and services for the knitting of tomorrow and employs some 1,000 people.
The KARL MAYER Group, which is headquartered in Obertshausen in the federal state of Hesse, operates in a number of markets around the manufacture and sale of textile machinery. According to the company’s own figures, it employs more than 2,300 people and has subsidiaries in the US, India, Italy, Hong Kong, Japan, China and Switzerland, as well as representative offices all over the world. This acquisition will enable the KARL MAYER Group to access additional technological growth potential and an innovative solutions portfolio in the flat knitting sector.
