CMS advises VR Equitypartner and MEH Beteiligungs GmbH on sale of N3K Network Systems to Invision AG

Leipzig – VR Equitypartner and MEH Beteiligungs GmbH have sold their shares in IT service provider N3K Network Systems to private equity firm Invision. Equity capital financier VR Equitypartner and members of the management team are providing support for the company’s continued growth via reinvestment. VR Equitypartner acquired a large stake in N3K in 2016, with the management team holding the remaining shares. Details of the transaction were not disclosed. The transaction is currently awaiting approval from the merger control authorities.

A CMS team headed by lead partner Dr Jörg Lips advised VR Equitypartner and MEH on all legal aspects of the deal. Back in 2016, the Leipzig-based team provided the seller with comprehensive legal advice on the investment by VR Equitypartner. VR Equitypartner relies on the expertise of CMS on a regular basis. The Leipzig team most recently advised on the sale of specialist chemical company Leuna-Tenside to US firm Vantage Specialty Chemicals Holding Inc.

N3K Network Systems is headquartered in Heilbronn, with subsidiaries in the US and Canada. Its IT services include mission-critical software solutions covering DDI, Active Directory & Cloud Auditing and Privileged Account Management, backed by its own growing IP portfolio. N3K has a broadly diversified customer base including 14 of the businesses listed in the DAX 30, according to information provided by the company.

VR Equitypartner is an equity capital financier operating in Germany, Austria and Switzerland. The company helps family-owned SMEs find strategic solutions to complex financing issues. The reasons for taking an equity interest include financing of growth and expansion, corporate succession scenarios and a change of shareholders. VR Equitypartner offers majority and minority stakes as well as mezzanine financing. VR Equitypartner’s portfolio currently comprises some 60 investments valued at a total of EUR 400 million, according to the company’s own figures.
