Jennifer is a Partner in our London Corporate department, specialising in complex M&A, joint ventures, group reorganisations and general corporate governance matters, with a focus on transactions in the energy and infrastructure sector.  Her experience includes two years working in house at a major infrastructure company giving her valuable insight into the commercial drivers, priorities and practical challenges that shape transactions in the sector.

Relevant experience

  • National Grid and SSEN Transmission on the shareholder arrangements for the Eastern Green Link 2 (EGL2) and Eastern Green Link 3 (EGL3) subsea high voltage direct current (HVDC) "superhighways", the largest electricity transmission projects in the UK. 
  • SSE plc on its disposal of its entire 33.3% stake in Scotia Gas Networks Ltd, a gas distribution company that distributes gas to 5.9 million homes and businesses, for consideration of GBP 1,225m in cash.
  • Macquarie Asset Management and British Columbia Investment Management Corporation on the acquisition of a 60% stake in National Grid’s UK gas transmission and metering business for an implied enterprise value of GBP 9.6bn.
  • A large investment firm on a development and investment joint venture, the purpose of which is to acquire land with a view to re-developing into solar, wind and BESS assets. The venture was seeded with over 30 assets across the UK with a pipeline of opportunities in Germany and other UK sites.
  • GRIDSERVE on its acquisition of the world’s first national charging network for electric cars, The Electric Highway Company Limited, from Ecotricity and the acquisition of Silver Power Systems, a technology business focussed on battery data and analytics software.
  • Octopus Energy Group, the British renewable energy group specialising in sustainable energy, on its takeover of Bulb Energy’s (Bulb) 1.5 million customers. The ground-breaking transaction involved an energy transfer scheme (a statutory process available to energy supply companies that are in special administration), used for the first time in the United Kingdom.
  • Amey on the acquisition of Briggs' interest in the defence equipment joint venture, AmeyBriggs, to take full ownership.
  • Universities Superannuation Scheme (USS), the sole corporate trustee of one of the UK's largest pension funds, on its acquisition of an additional 8.77% stake in Kemble Water Holdings Limited, the holding company of Thames Water Utilities Limited (Thames Water).
  • SSE Thermal on the acquisition of a 50% interest in H2NorthEast and associated joint ventures arrangements with Kellas Midstream to develop a hydrogen production facility with carbon capture and storage in Teesside.
  • Renewable Power Capital (RPC) on its partnership with Greenfield that will target at least 500MW of battery storage capacity including the acquisition by RPC of numerous projects as part of the transaction.
  • SSE Renewables on multiple acquisitions and disposals in the UK and Northern and Central Europe, including of solar and battery storage projects in development.
  • Total Gas & Power Infrastructure Limited and SSE plc, as honest broker, on their joint venture arrangements in relation to the Seagreen1A offshore wind farm.
  • SSE on the GBP 350m sale of a 25.1% stake in the Walney offshore wind farm to Greencoat.
