Alastair McNaughton is an experienced senior associate in the Corporate Transactions group based in the CMS Glasgow office. He has experience advising clients on a range of corporate matters across a number of sectors, including the energy & infrastructure, technology and real estate. His experience includes advising public and private companies on a wide range of M&A transactions including acquisitions, disposals and public company takeovers, equity fundraisings, private equity investments, group reorganisations and general corporate governance.

Alastair spent 12 months on secondment to Edinburgh-based offshore wind developer Flotation Energy Limited (a wholly owned subsidiary of Japanese utility Tokyo Electric Power Company’s renewables division) from March 2023 until April 2024, advising on a range of group corporate matters and project development activities across Flotation’s portfolio.

Relevant experience

  • Selling shareholders of Flotation Energy Limited on the cross-border sale of Flotation Energy Limited to TEPCO Renewable Power, Incorporated.
  • Flotation Energy Limited on its joint venture arrangements with Vårgrønn AS (a JV between Eni and HitecVision) to develop the Green Volt (560MW) and Cenos (1,350 MW) offshore windfarms. 
  • Bruker Corporation: the NASDAQ listed manufacturer of scientific instruments, on a number of corporate transactional matters, including its: (1) acquisitions of Optimal Industrial Automation Limited and Optimal Industrial Technologies Limited; (2) acquisition of Phasefocus Holdings Limited; and (3) minority investment into Eliptica Limited.
  • ERG SpA, the Italian listed renewable energy developer and operator, on its acquisition of Broken Cross Windfarm from BayWa r.e AG, for GBP 60m.
  • Selling shareholders of Braid Group (Holdings) Limited on the cross-border sale of the company and its sister companies Proflex Group and C-Bulk, to J.F. Hillebrand Group AG (subsidiary of DHL).
  • Cicor Technologies Ltd (portfolio company of One Equity Partners) on its acquisition of STS Defence Limited, and the carve out acquisition of TT Electronics IoT Solutions Ltd from TT Electronics Plc.
  • CLS Holdings Plc, the FTSE 250 listed commercial property investment business, on the sale of its student accommodation asset Spring Mews, to a JV formed between funds managed by Barings Asset Management and Rosethorn Capital Partners for GBP 101m.
  • M Squared Lasers and management in relation to its GBP 32.5m Santander and Scottish National Investment Bank (SNIB) backed MBO which facilitated the sell down of the majority of BGF’s shares in M Squared. Alastair has also advised M Squared on all of its further investment rounds led by SNIB. 
  • Management of Spring Media on the sale of the company to Two Circles (portfolio company of Charterhouse Capital Partners).
  • Smart Metering Systems (a KKR portfolio company) on its final accelerated bookbuild placing before its take-private which raised £175m and in relation to a number of corporate acquisitions.
  • Macfarlane Group Plc on the sale of its labels division to The Reflex Group Limited for GBP 6.4m.
