Bruce is a partner in the Corporate Group, based in the firm’s Edinburgh office. He has expertise in a wide range of corporate matters and specialises in mergers and acquisitions, venture capital and private equity investments and corporate governance work.

Bruce acts for private companies, investors, management teams and individual shareholders across all stages of a company’s lifecycle. He has a wealth of experience in acquisitions, joint ventures, group reorganisations, investment work, company disposals/exits and in providing corporate governance advice to clients across a broad range of sectors including retail, hotels & leisure, financial services, FinTech and life sciences.  Bruce also leads the CMS equIP legal accelerator programme in Scotland.

  • Lead sell-side adviser for shareholders, including Souter Investments, on the GBP 320m sale of Britain’s biggest bus builder, Alexander Dennis, to NFI Group Inc.
  • Souter Investments on their acquisition, alongside Sullivan Street Partners, of diagnostic services business Tracerco from Johnson Matthey plc. 
  • Macdonald Hotels & Resorts on the disposal of the Macdonald Holyrood Hotel and Macdonald Manchester Hotel to Zetland Capital Partners in one of the largest hotel transactions outside London in 2021.
  • Award-winning Edinburgh-based tour company Rabbie’s Tours on its GBP 7m investment from Piper Private Equity, a specialist consumer brands investor.
  • Murray Capital on various growth capital investments including into financial technology lending platform headquartered in Scotland LendingCrowd, cryptocurrency business Zumo and automated manufacturing business CloudNC.
  • Murray Capital and the other selling shareholders of IT and security solutions provider Capito on its sale to XMA.
  • EnteroBiotix, a leading microbiome therapeutics company, on its Series A fundraising and subsequent funding rounds.
  • A large institutional bank on a FinTech investment.
  • A data-first change and transformation consultancy client Proteus on its acquisition of software-as-a-service company Sharktower.
  • A mid-market private equity firm on a number of acquisitions and investments, including dealing with all investment documentation, seller ‘rollover’ documentation, acquisition documentation, transaction project management and liaising on all elements on the acquisition finance documentation.
  • Portfolio investment work for private equity clients, including senior management exits, management share issues, changes to company constitutions and corporate governance matters.
