Michael Carroll is an Australian qualified Partner in our London Corporate department. Michael specialises in M&A transactions, joint ventures and major project acquisitions and disposals, with a focus on transactions in the energy and infrastructure sector where he advises developers, utilities, infrastructure funds, pension funds and other financial investors on a broad range of transactions, including acquisitions, disposals, equity investments and joint ventures.

Relevant experience

  • Brookfield Asset Management on its 50/50 joint venture with KKR in respect of X-Elio, one of the world’s largest independent solar platforms with operations in the USA, the Middle East, Japan, South Africa, South America, Australia, Italy and Spain, by way of the indirect acquisition of Acek Renewable’s 20% stake in X-Elio and 30% of KKR’s stake in X-Elio.
  • GLIL Infrastructure on its consortium with Arcus Infrastructure Partners in respect of the leveraged buyout of Smart Meter Assets 1 Ltd, one of the largest meter asset providers in the UK, from Brookfield Infrastructure Partners.
  • RWE on the disposal of a 49% stake in the 219 MW Humber Gateway offshore windfarm to Greencoat and the resulting 51/49 joint venture.
  • Electricity Supply Board on the acquisition of a 50% stake in the 450 MW Neart na Gaoithe Offshore Wind from EDF and the resulting 50/50 joint venture with EDF.
  • GLIL Infrastructure on the acquisition of a 49% stake in Cubico Sustainable Investment’s 250 MW wind and solar portfolio in the UK and the resulting joint venture with Cubico Sustainable Investment.
  • The Renewables Infrastructure Group (a fund managed by InfraRed Capital Partners) on the indirect acquisition from Global Infrastructure Partners of a 25% interest in the 330 MW Gode Wind 1 offshore wind farm located in the German North Sea and the entry into a shareholders’ agreement with Glennmont Partners in respect of their combined 50% stake in the underlying Gode Wind 1 joint venture with Ørsted.
  • SSE plc on the disposal of a 50% stake in SSE Enterprise Telecoms (one of the UK’s largest connectivity suppliers) to Infracapital, the infrastructure equity investment arm of M&G Prudential, and the resulting 50/50 joint venture.
  • EDP Renováveis on the disposal of stakes in the 1.1 GW Moray Firth East offshore wind farm to: (i) ENGIE (23.3%, pre-CfD award); (ii) Diamond Generating Europe (in two tranches, with a 20% stake being sold following CfD award and a further 13.4% stake being sold at FID); and (iii) China Three Gorges (10%, immediately after financial close), and the resulting joint venture arrangements.
  • EDF Renewables UK on the acquisition (by way of subscription) of a 51% interest in Longfield Solar Energy Farm Limited, the project company which is developing the proposed 500MW Longfield solar farm with co-located battery storage in Chelmsford and the resulting joint venture with developer Padero Solar.
  • Dudgeon Offshore Wind Limited on the sale of the offshore transmission assets relating to the 402MW Dudgeon offshore wind farm to TCP.
  • Saeta Yield (a subsidiary of TerraForm Power) on the acquisition from X-Elio Energy of a 40 MW portfolio of operational solar PV projects in Spain.
