International law firm CMS has advised the Lewandpol Group on a project to build the first large hybrid solar & windfarm in Poland.
Lewandpol Holding is one of the leading Polish private investors operating in the renewable energy sources sector.
Kleczew Solar & Wind, located in Kleczew, Wielkopolska Voivodeship, Poland, will be the first large-scale project to combine solar and wind energy in Poland and one of the largest renewable energy parks in Central and Eastern Europe. The expected capacity of the farm exceeds 200 MW and has the possibility to further expand. Kleczew Solar & Wind is scheduled to start producing electricity in 2023 and is expected to produce enough to meet the needs of around 100,000 households.
CMS wide-ranging advice covered the entire scope of work, including legal due diligence, preparing and negotiating complex project agreements, and the EPC contract along with agreements for investor supplied equipment, the project management agreement, Operation & Maintenance (O&M) agreements for the photovoltaic and wind farm, Balance of Plant agreement and Turbine Supply Agreement. The financing scope of work included preparing the PLN 776m senior facility agreement with a consortium of three banks, as well as negotiating the PLN 90m subordinated loan agreement with another financial institution, the hedging documents and related finance documents.
The entire transaction was led by the project’s asset manager and lead advisor, Ergy.
