CMS advises CMP German Opportunity Fund III on acquisition of meat and frozen food producer GETI WILBA

Berlin – CMP German Opportunity Fund III, a private equity fund advised by Berlin-based private equity firm CMP Capital Management-Partners, has acquired the business operations of GETI WILBA GmbH & Co. KG. GETI WILBA manufactures meat and frozen food products. The transaction was carried out by the insolvency administrators as part of a rescue by way of transfer of assets. It is subject to various closing conditions as well as approval by the competition authorities. The deal enabled all of the around 550 jobs to be saved. Details of the transaction were not disclosed. Closing is scheduled for the start of June 2020.

A CMS team led by partners Dr Eva Annett Grigoleit, Dr Igor Stenzel and Niklas Lütcke again advised CMP on all legal aspects of the transaction. This included advising on the investor process and relevant aspects of food law. General Counsel Dr Robert Thamm was involved on the CMP side. CMP is a longstanding client of CMS Germany and is regularly advised by CMS on company sales and acquisitions in particular.

GETI WILBA GmbH & Co. KG, which will continue to be known as the GETI WILBA Group, specialises in processing meat products, particularly poultry and game, and in the production of frozen ready meals. The company operates facilities in the Lower Saxony towns of Bremervörde and Cuxhaven. In the chicken meat segment, GETI WILBA covers the entire value chain from the live animal to the end product for retail and industry.
