Stuttgart - The Indian stock-listed pharmaceutical group Dr. Reddy's has signed a definite agreement to acquire all shares of Nimbus Health GmbH, a wholesaler specialising in medicinal cannabis. In future, the company will operate as a wholly-owned subsidiary of Dr. Reddy's on the German market and exploit further growth potential. The company aims to distribute medicinal cannabis products as a promising treatment option for patients. The founding directors will continue to work for Nimbus Health. The consideration includes performance and milestone-based earn-outs over the next four years, in addition to an upfront payment.. The deal is still subject to completion of usual conditions.
A CMS team led by partner Dr Heiko Wiechers and principal counsel Dr Andreas Lohbeck provided comprehensive legal advice to Dr Reddy's on the transaction, including legal and compliance due diligence, regulatory advice and negotiation of the share purchase agreement. CMS advised Dr. Reddy's in a transaction for the first time with Dr. Heiko Wiechers, who worked in India and has many years of expertise in advising on investments and transactions in the Indian-German market.
