Dusseldorf – LIMERA Gartenbauservice GmbH & Co. KG, based in Geldern-Walbeck (North Rhine-Westphalia), has acquired all shares in Gärtnereinkauf Münchingen GmbH (GEM), based in Korntal-Münchinen (Baden-Württemberg), from the Dutch company Horticoop B.V.. With the takeover of the partner for professional horticultural businesses, LIMERA continues to expand in Germany. GEM supplies its customers from three locations and offers a wide range of supplies and gardening technology. The company formerly known as MERULIN Gartenbauservice GmbH & CO. KG, was formed only last year from the merger with Raiffeisen Gartenbau GmbH & Co. KG, a former RWZ subsidiary. As a result of the takeover, LIMERA now has a total of eleven locations. All parties involved have agreed not to disclose the details of the transaction.
A multidisciplinary CMS team led by partner Dr Jürgen Frodermann and senior associate Dr Nora Zabel provided legal advice to LIMERA in the course of the transaction. In addition to due diligence, the advice included structuring issues and the drafting and negotiation of the contracts. The CMS team is also advising LIMERA on post-closing issues. The company already relied on the expertise of CMS during the merger with Raiffeisen Gartenbau last year.
