Stuttgart – MORI SEIKI and GILDEMEISTER AG ("DMG") are combining their sales and service activities in Europe. The sales and service functions of Mori Seiki GmbH in Germany are being integrated into a new company within the GILDEMEISTER Group, DMG MORI SEIKI Deutschland GmbH. Mori Seiki GmbH is the German subsidiary of MORI SEIKI Ltd., Japan, a world leader in machine tool engineering. The sales and service operations of MORI SEIKI and GILDEMEISTER in other European countries will also be brought together in a new joint venture to be established in Switzerland.
A team from CMS Hasche Sigle advised MORI SEIKI on all legal aspects of the sale of part of its operations, on concluding the sales and service alliance and on establishing the planned joint venture. Partner firms in the CMS organisation were involved in handling proceedings before the cartel authorities in Switzerland, Austria, Italy and Poland, which were coordinated by the Stuttgart office of CMS Hasche Sigle. The CMS team also advised MORI SEIKI Japan on increasing its stake in listed company GILDEMEISTER AG at the start of 2011. Here again, several partner firms in the CMS organisation in Austria, Italy, Poland and Russia as well as the World Law Group in Turkiye assisted.
The current company MORI SEIKI GmbH will retain its core functions at the Wernau site near Stuttgart and represent the Japanese MORI SEIKI production plants in the European market, but the company has sold its sales and service business to DMG. The approvals from the relevant competition authorities have mostly already been granted.
