Hamburg – Raiffeisen Waren GmbH has acquired a total of 19 retail locations from Raiffeisen Waren-Zentrale e.G. As part of the transaction, the two parties will also set up a joint venture for the distribution and marketing of agricultural products. In addition, they plan to cooperate in the purchasing of supplies. Details of the transaction were not disclosed. The closing is scheduled for June of this year.
A CMS team headed by lead partners Dr Tim Reher and Dr Christian von Lenthe advised Raiffeisen Waren GmbH on all legal aspects. As well as advising on and negotiating the agreements, the advice included the strategic cooperation between the two Raiffeisen companies in what is a sensitive competitive environment. A key focus of the advice was on corporate and contract law aspects as well as tax and competition issues.
Kassel-based Raiffeisen Waren GmbH is a trading company with a focus on products, offerings and services in the agricultural trade and related equipment segment. According to the company’s own figures, it employs 2,449 people, generates group sales of around EUR 1.62 billion and has some 200 locations across Germany. Raiffeisen also operates in the agricultural machinery trade in Denmark.
