CMS advises Fintel on acquisition of Mortgage Brain Holdings

23 Oct 2026 United Kingdom 2 min read

CMS has advised Fintel, a leading provider of software and services to the UK retail financial services sector, on its acquisition of the remaining equity in Mortgage Brain Holdings. Fintel previously acquired a 5.8% minority stake in Mortgage Brain Holdings in March 2024.

Mortgage Brain is a UK mortgage technology provider offering capabilities spanning mortgage sourcing, criteria, affordability, customer relationship management and mortgage submissions. The acquisition strengthens Fintel’s Software & Data division and expands its technology offering across the wealth, mortgage and multi-disciplinary advice markets.

The transaction also brings together Mortgage Brain’s technology with Fintel’s wider capabilities. Mortgage Brain has an existing two-way integration with Plannr, the adviser operating platform in which Fintel holds a 49% strategic stake, supporting integrated mortgage and wealth advice workflows.

As part of the transaction, Zahid Bilgrami, currently CEO of Mortgage Brain, will assume leadership of Fintel’s Software & Data division.

Robbie Somerville, Corporate Partner at CMS, comments: “It has been a real pleasure working with Fintel on our first transaction together. This is an important acquisition for the business as it continues to develop its technology offering across the UK financial services market. We are proud to have supported the team on a transaction that represents an important step in Fintel’s growth strategy.”

Russell Naglis, General Counsel and Company Secretary at Fintel, comments: “CMS provided excellent support throughout this transaction. Robbie Somerville and Gemma Shearer quickly understood our objectives and provided clear, commercial advice at every stage of the process. We valued their collaborative approach and commitment to helping us deliver an important strategic acquisition.”

The CMS team was led by Robbie Somerville and Gemma Shearer, and included Sofie Santy and Kieran MacArthur (Corporate); Aaron Fairhurst and Johanna Dodgson (Tax); Catherine Merry and Mala Patel (Employee Incentives); Christine Owen, Holly Langman and John Figura (Real Estate); Alan Nelson and Rachel Gillan (Media & Technology); Alan Fulton and Benjamin Dickson (Finance); and Russell Hoare and Ruth Derruau (Competition).
