CMS advises future shareholders of 450connect joint venture

Munich – A broad alliance from across the energy and water industry has applied for the 450 MHz frequencies that will become available this year, using 450connect GmbH as their joint vehicle. The aim of the joint venture is to build and operate a blackout-proof LTE radio network in this frequency range throughout Germany for the sector and for other critical infrastructure. It will grant interested companies non-discriminatory access to the network. Construction and operation of a fail-safe network is a key requirement for digital transformation and thus for the success of the energy transition. The transaction is worth a triple-digit million amount.

The new joint venture, 450connect, will have four equal shareholders: the current sole shareholder Alliander AG, a consortium of regional energy suppliers, E.ON and Versorger-Allianz 450. Together, these companies supply around 90% of Germany with critical infrastructure such as electricity, gas and water, along with wastewater disposal.

A CMS team headed by Dr Jens Neitzel, Dr Martin Kuhn, Dr Astrid Roesener and Dr Björn Herbers advised the consortium of regional energy suppliers on all aspects of participating in this joint venture. The consortium includes WEMAG AG, TEAG Thüringer Energie AG, ENTEGA AG, EWE NETZ GmbH, EAM GmbH & Co. KG, Harz Energie GmbH & Co. KG, RheinEnergie AG and Westfalen Weser Energie GmbH & Co. KG. CMS is also providing merger control advice to the consortium of regional energy suppliers, E.ON and Versorger-Allianz 450. The current shareholders in Versorger-Allianz 450 are MVV Netze GmbH, Netze BW GmbH, Oberhessische Versorgungsbetriebe AG and SWO Netz GmbH.

The 450connect joint venture is ready to build and operate a common radio network throughout Germany. The creation of the joint venture is still subject to approval under merger control law by the competition authorities and is awaiting frequency allocation by the Federal Network Agency (BNetzA).
