Cologne – Hannover Finanz GmbH has acquired a majority stake in Rohrsanierung Jensen GmbH & Co. KG, with its registered office in Brügge near Kiel, through its equity division HF Equity (HFE). Jensen specialises in trenchless sewer redevelopment and maintenance of wastewater pipes and sewage systems.
In addition, Hannover Finanz is taking over KATEC Kanaltechnik Müller & Wahl GmbH, with its headquarters in Jünkerath, in a process of corporate succession. KATEC also specialises in trenchless sewer redevelopment.
A CMS team led by Klaus Jäger advised Hannover Finanz on all legal aspects of both transactions. In addition to the corporate structuring of the acquisition, the advice also included the structuring of the re-investment of the managing shareholder Stefan Jensen, competition law issues and support with the W&I insurance. The volume of the transaction has not been disclosed.
With both investments, Hannover Finanz is laying the foundation for a promising buy-and-build strategy in critical infrastructure and creating the basis for a platform in this sector.
