Hamburg – Norwegian company Nammo Raufoss AS and German company Diehl Defence GmbH & Co. KG have established a joint venture for the joint development and production of 155 mm artillery ammunition. The joint venture was formed in connection with a large-scale procurement project for the German Armed Forces and is intended to facilitate the production of ammunition in Germany. Nammo is contributing its technology and intellectual property, whilst Diehl is setting up a production facility in Germany and will take charge of manufacturing. The project has been approved by the German Federal Cartel Office and is regarded as an important contribution to strengthening European defensive capabilities and security of supply.
A CMS team led by Dr Eckart Gottschalk provided Nammo Raufoss with comprehensive advice on the structuring, establishment and execution of the joint venture. In particular, this included competition law advice on the merger at both German and European level, corporate law issues relating to the structure of the joint venture, regulatory and foreign trade law aspects, as well as complex tax law matters. In addition, CMS provided support in liaising with the authorities, drafting and negotiating the relevant joint venture and shareholders' agreements, and coordinating cross-border cooperation. Alongside CMS in Germany, teams from CMS in Norway and Austria as well as the EU law office in Brussels were also involved in the mandate.
