CMS advises on the sale of a majority stake in cruise specialist e-hoi to the Trip.com Group

Frankfurt am Main – e-vacation Group Holding GmbH has sold a majority stake the e-hoi Group to the Trip.com Group. The transaction was completed on 4 September 2026; the parties have agreed not to disclose the transaction terms. The cross-border sale to one of the world’s largest online travel service providers underlines the growing strategic importance of digital platforms and technological innovations for the growth of the international travel and cruise industry.

A CMS team led by Dr Peter Polke provided comprehensive advice to the shareholders of the e-hoi Group on all legal and tax aspects of the transaction. In particular, the mandate included the structuring and implementation of the sale process, legal and tax support during contract negotiations, and the coordination of the cross-border transaction steps through to the successful completion of the transaction.

The e-hoi Group was founded in 2003. Headquartered in Frankfurt am Main, the company operates in eight European markets and is one of the leading providers of ocean, river, luxury and expedition cruises. With its own technology platform, the e-hoi Group has played a key role in driving the digitalisation of cruise sales.

The Trip.com Group is one of the world’s leading online travel providers and operates a comprehensive travel ecosystem. The group’s portfolio includes brands such as Trip.com, Ctrip, Skyscanner and Qunar. With its strong market position in Asia and its global presence, the Trip.com Group possesses a high level of technological expertise, particularly in the fields of artificial intelligence, digital customer platforms and data-driven travel offerings.

Following completion of the transaction, the e-hoi Group will continue to operate independently within the Trip.com Group. The existing brands, European offices, teams and management will remain in place. By acquiring a majority stake, the Trip.com Group is strengthening its position in the European cruise market and combining the e-hoi Group’s market leadership in the DACH region and the Benelux countries with its own global reach and technological expertise.
