CMS advises on sale of Czech branded food producer Hamé

CMS has advised Decapterus S.à.r.l., a Luxembourg based private equity holding, on the EUR €175m sale of Hamé to Oslo-listed food group Orkla. Hamé is a leading branded food producer in the Czech Republic and Slovakia and produces some of the Czech Republic’s most iconic food brands including Hamé, Májka, Znojmia, and Otma. The agreement is subject to the approval of the relevant competition authorities.

Slovakia Hamé is a leading player in the Czech Republic for the production of pâtés, ready meals, ketchup, preserved vegetables, jams and baby food, and in Hungary, Romania and Russia for pâtés. The company has approximately 2,400 employees and operates ten production sites.

Partner Helen Rodwell, who led the deal team, commented: “Because of the well-known and traditional consumer brands involved, the transaction generated a lot of interest in the local media over the past year. We are delighted to have been part of bringing this headline transaction to a successful end for our clients. As this transaction shows, domestic consumer product brands still maintain strong positions in Central European markets and are attractive targets for international industry players.”

The CMS team was led by Prague-based corporate partner Helen Rodwell and further consisted of senior associates Frances Gerrard and Barbora Dubanská in Prague, Ana-Maria Nistor in Bucharest, Zoltan Poronyi in Budapest, Ernest Agayan and Konrad Rawicz in Moscow and Tetyana Dovgan in Kyiv.
