CMS advises Pioneer & Onkyo Europe GmbH on transfer of business activities in Europe

Munich – Pioneer & Onkyo Europe and Aqipa, a value-added distributor of consumer electronics, have agreed an asset deal to transfer the business activities of hi-fi and home cinema brands Pioneer, Onkyo, Integra, TEAC and Esoteric to Aqipa with effect from 1 October 2018. The transaction involves revenues of around EUR 140 million and applies to all European markets.

A team from CMS Germany headed by Peter Endres and Richard Mitterhuber advised Pioneer & Onkyo Europe on all legal aspects of preparing, negotiating and executing the transaction. The team was supported by the CMS offices in France, the Netherlands, Belgium and the UK, as well as law firms Schjødt in Norway and Setterwalls in Sweden.

Based in Puchheim near Munich, Pioneer & Onkyo Europe is a European subsidiary of Onkyo & Pioneer Corporation. The Japanese group is a world-leading provider of hi-fi and home cinema electronics. It is also ranked as one of the world’s largest OEM manufacturers of loudspeaker chassis for the automotive, telecommunications and consumer electronics industries.

Established in 1990, the Aqipa Group is headquartered in the Austrian town of Kundl. It focuses on the distribution and marketing of premium accessory products within the consumer electronics sector and has offices in Europe and Australia.
