CMS advises shareholders of Factor Eleven on their Exit to Armira

Munich – Factor Eleven, a leading digital marketing software company, announces a strategic collaboration with Armira, an investment holding company focused on family businesses and technology. The previous main shareholder was the Munich entrepreneur Werner Dreesbach.

Factor Eleven, founded by Alexander Anhuth in 2014, has positioned itself as a one-stop-software-platform for digital marketing on the open web and wants to expand its own product portfolio for its customers even more broadly and quickly with its new strategic partner. The existing management team will continue to run Factor Eleven's business.

Armira is a Munich-based investment holding group which invests in established, market-leading and fast-growing companies in Europe, with a focus on family businesses and technology. 

A CMS team led by Stefan-Ulrich Müller, Dr Jessica Mohaupt-Schneider and Dr Jacob Siebert provided comprehensive legal advice to the sellers of Factor Eleven on the transaction. This included, in particular, legal support throughout the structured sales process, drafting and negotiating the relevant contractual documentation for the sale of the shares and dvising on the structuring and implementation of a reinvestment and an employee participation programme.
