Stuttgart – The SYNLAB Group, a leading provider of medical diagnostic services and specialist tests in Europe, has sold its Veterinary Diagnostics business (SYNLAB VET) to a subsidiary of US group Mars, Inc. The transaction is currently awaiting approvals from the competition authorities. The disposal of SYNLAB VET is part of the company’s ongoing strategy of focusing more tightly on its core business around human medicine. Details of the transaction were not disclosed.
An international CMS team headed by lead partner Dr Christoph Lächler provided SYNLAB with comprehensive legal advice during the transaction. The sale took place by way of an auction process. A particular focus of the advice was on structuring the transaction as a combined share and asset deal spanning multiple jurisdictions. Another key aspect was the legal implementation of extensive agreements on transitional services to be provided by the SYNLAB Group once the transaction has completed.
SYNLAB is a longstanding CMS client and regularly relies on the expertise of the Corporate/M&A team led by Dr Christoph Lächler. Recent examples include the acquisition of the WolfartKlinik hospital and the sale of the company’s Swiss business to Sonic Healthcare, advised on by a team from CMS Switzerland headed by partner Alain Raemy.
