CMS advises Mutares portfolio company Magirus on acquisition of Achleitner Fahrzeugbau GmbH

CMS advises Magirus, a wholly-owned portfolio company of Mutares SE & Co. KGaA, on the acquisition of Achleitner Fahrzeugbau GmbH, a long‑established Austrian specialist in bespoke off‑road, security and defence vehicles, as a strategic add‑on; closing expected in Q4 2025.  

CMS acts as legal advisor to Mutares/Magirus on the agreement to acquire the vehicle construction division of Achleitner Fahrzeugbau GmbH, a leading Austrian specialist in tailor‑made vehicle bodies, conversions and advanced all‑wheel‑drive technology for off‑road, police, military and paramilitary applications and will broaden the group’s Infrastructure & Special Industry segment, unlocking cross‑selling and accelerating international market penetration. Binding transaction documents were signed on 30 September 2025, closing remains subject to customary conditions. 

The acquisition of Achleitner’s vehicle construction division represents a highly complementary strategic fit for the Magirus Group portfolio. By combining Achleitner’s proven expertise in specialized defense and security vehicles with Magirus’ established leadership in firefighting and emergency response solutions, the group will be able to offer a broader range of mission-critical vehicles. 

The CMS team is led by Partner Alexander Rakosi (CMS Austria), with the core team additionally consisting of co-lead Partner Michael Wangemann (CMS Germany), Marie-Christine Lidl and Anna Hiegelsperger (both CMS Austria), and with further support by a multi-disciplinarian team at CMS Austria. 

By advising on this acquisition, CMS underscores its leading position in industrial, automotive and defence M&A and its ability to provide commercially driven legal support for client growth.
