We offer a broad spectrum of advice and support around finance transactions. Our services include in particular:

  • Structuring finance deals
  • Conducting legal and tax due diligence
  • Drafting and negotiating term sheets
  • Drafting and negotiating loan and collateral agreements
  • Preparing legal opinions and other expert reports
  • Monitoring that drawdown requirements are met
  • Assistance with loan syndication and refinancing
  • Project coordination

Finance restructuring

In view of the difficult situation in some sectors, advising banks and debtors in cases of imminent insolvency is a key part of our service. When advising on restructuring we work closely with other CMS lawyers from the relevant areas of law, especially our insolvency law experts.

We support our clients:

  • in all phases of refinancing and restructuring
  • when structuring and implementing asset and credit portfolio (re-)financing
  • when selecting banks and with finance tendering
  • during negotiations with debtors, banks and other creditors
  • when acquiring or selling assets and loans by providing relevant insolvency law advice
