CMS advises Stadtwerke Neumünster on the formation of NordConnect GmbH

Hamburg – SWN Stadtwerke Neumünster GmbH, Stadtwerke SH GmbH & Co. KG and their shareholder public utilities from Eckernförde, Rendsburg and Schleswig have consolidated their activities related to fibre optics and telecommunications within the newly established joint venture, NordConnect GmbH. Through this new company, the participating municipal corporations are laying the foundations for a more efficient roll-out of fibre-optic networks in Schleswig-Holstein and aim to offer their customers consistent services across the whole state in future. NordConnect already supplies around 100,000 customers.

A CMS team led jointly by Dr Holger Kraft and Dr Stefan Kühl provided comprehensive legal advice to SWN Stadtwerke Neumünster GmbH and Stadtwerke SH GmbH & Co. KG on structuring and implementing the project.

The advice in particular covered issues relating to company law, competition law, tax law, telecommunications and IT law, employment law, property law and public law. The project structure involved extensive measures relating to the law on corporate conversions, on which CMS also provided advice and support.

SWN Stadtwerke Neumünster GmbH is a local public utility with its registered office in Neumünster. As well as supplying energy and water, the company has been committed to expanding high-performance fibre-optic networks for many years and, together with partners in other local authorities, is driving forward digitalisation in Schleswig-Holstein.
