Munich – STOCKMEIER Holding SE has acquired all shares in CC Holding Laren B.V. through its subsidiary Stockmeier Netherlands Food Holding B.V. This strategic transaction strengthens the family-run company's presence and product portfolio, particularly in the European and American markets for chemicals, flavours and food ingredients.
The CMS team led by Richard Mitterhuber and Dr Thomas Mühl provided comprehensive legal advice to the STOCKMEIER Group during the bidding process. In particular, the advice included conducting cross-border due diligence, negotiating the share purchase agreement (SPA) and assisting with the W&I insurance. On the Dutch side, an interdisciplinary team from CMS led by Pieter van Duijvenvoorde was involved. In the USA, Baker Hostetler supported the transaction. The CMS teams in Germany and the Netherlands have extensive experience in providing legal support for international M&A transactions. STOCKMEIER regularly relies on the expertise of CMS.
The target, Creamy Creation, specialises in the development and production of traditional dairy cream liqueurs as well as plant-based cream liqueurs and the fast growing market for ready-to-drink alcoholic beverages. Founded in 1979, the company is the trusted partner of leading spirits brands globally. From its leading position in the US and Europe the company also has built a strong position in LATAM, APAC and Africa.
STOCKMEIER Food, one of four divisions of the STOCKMEIER Group since 1995, focuses on the development, production and global distribution of flavours and also trades in raw materials and additives for the food industry. The portfolio includes customised flavour solutions, seasoning and food ingredients.
