CMS advises Everfield on the proposed acquisition of OT security specialist Rhebo

Frankfurt – The European buy-and-hold investor Everfield Germany GmbH has agreed upon the acquisition of the OT security specialist Rhebo GmbH. The seller is the Swiss Landis+Gyr Group, of which Rhebo has been a part since 2021; the group is currently pursuing a strategic realignment. The transaction is subject to regulatory approval and standard market closing conditions. With this acquisition, Everfield is expanding its "Business and Industrial Systems" division with specialist OT security expertise, thereby complementing its existing industrial software portfolio.

A CMS team led by Dr Jessica Mohaupt-Schneider and Dr Florian Plagemann provided legal advice to Everfield throughout all phases of the transaction. The advice included in particular the structuring of the acquisition, the execution of legal due diligence as well as the negotiation and implementation of the transaction documentation. As part of the due diligence process, the AI-based due diligence solution developed by CMS was used once again, enabling an efficient and transparent review process whilst ensuring adherence to stringent compliance and governance requirements. This technology-driven approach supports financial investors in particular during complex M&A transactions by offering greater depth of review and process efficiency.

Rhebo GmbH, a technology company founded in Leipzig in 2014, specialises in attack detection and security monitoring in industrial networks (Operational Technology, OT) and in Industrial IoT environments. Rhebo's software solutions enable continuous passive monitoring of industrial networks to identify anomalies and cyberattacks promptly without disrupting ongoing operations or safety-critical industrial processes. These products are used in particular in regulated industrial environments and by operators of critical infrastructure.

The acquisition follows an increase in regulatory requirements at European level, particularly the NIS2 Directive and the Cyber Resilience Act, which require industrial companies to increase investment in the security and resilience of networked systems. Specialised OT security solutions are therefore becoming increasingly important from a strategic perspective for compliance, risk transparency and governance within the context of growth and investment strategies.
