Stuttgart – The GPE Group has acquired all the shares in the NICOLAY Group, a manufacturer of products used for non-invasive patient monitoring. The deal further strengthens GPE’s expertise in medical technology. The transaction is being financed by capiton V, a fund advised by capiton AG. The fund acquired the GPE Group jointly with the company’s management in the first half of 2019. The transaction is currently awaiting approval from the competition authorities. The parties agreed not to disclose the purchase price.
A CMS team headed by lead partner Dr Tobias Schneider advised GPE and capiton on all legal aspects of the deal. capiton is a longstanding client of CMS Germany. The same CMS team that has now advised on the acquisition of the NICOLAY Group also advised capiton on its acquisition of the GPE Group in the first half of 2019.
capiton AG is an independent owner-managed private equity firm that supports established SMEs as an equity capital partner in the context of management buy-outs and growth finance. The capiton investment portfolio currently includes eleven SMEs. The company manages a total fund volume of over a billion euros.
The GPE Group is a mid-sized group with international operations. Its companies throughout Germany produce components and systems primarily for the medical and pharmaceutical sectors. With more than 370 employees, the Group generates annual sales of over EUR 50 million. By making this acquisition, GPE aims to better meet increasing market demand for complex parts and components from a single source.
The NICOLAY Group is headquartered in Nagold. It describes itself as one of the leading companies in the development and manufacture of medical product accessories for non-invasive patient monitoring and diagnostics. NICOLAY has some 330 employees in Germany and Romania.
