CMS advises DIC Asset on acquisition of logistics specialist RLI Investors

Frankfurt am Main – DIC Asset AG has acquired 100% of the shares in RLI Investors GmbH and a minority stake of 25% in Realogis Holding GmbH. This will enable it to expand the logistics asset class within the group and also outside Germany. The agreed purchase price is around EUR 42 million. The shares are scheduled to be transferred to DIC Asset AG in the first quarter of 2021.

A CMS team headed by lead partners Dr Claus-Peter Fabian and Dr Jochen Lux together with lead counsel Katharina Mareike Franitza advised DIC Asset on all legal aspects of acquiring the logistics assets. DIC Asset regularly relies on CMS’s expertise, most recently when acquiring section B of the LOOK 21 property in central Stuttgart on behalf of a special AIF. The advice provided to DIC Asset reflects the M&A work regularly performed by CMS for asset management firms. Other recent examples include CMS acting on projects for Metzler Bank and Savills.

DIC Asset AG, which is headquartered in Frankfurt am Main, is a leading listed German property company. According to the company’s own figures, it manages 189 properties with a market value of around EUR 8.7 billion. The Frankfurt-based property company has been listed on the SDAX since 2006.

Munich-based RLI Investors GmbH is one of the leading independent logistics real estate investors in Germany. According to information supplied by the company, it manages assets worth more than EUR 700 million for institutional investors.
Realogis Holding GmbH, which is headquartered in Munich, is a market-leading independent advisor in the German industrial and logistics property segment. The Realogis Group operates out of seven locations across Germany and has over 60 employees.
