CMS’s strong M&A market position in the insurance sector in Poland

29 October 2021

In the last three months alone, international law firm CMS has supported its clients on important transactions in the Polish insurance market.

  • Advising Neuca S.A. on the acquisition of a majority stake in Pomerania Investment S.A., the sole shareholder of TU Zdrowie S.A.
  • Advising MetLife on the sale of MetLife’s Polish companies (more information can be found here).
  • Advising GrECo Group on the multi-jurisdictional acquisition of MAI CEE Insurance Brokers.
  • Advising Generali Group on the merger of Concordia Polska TU S.A. with Generali TU S.A. This process included the prior transformation of Concordia Polska TUW into a joint stock company (demutualisation), the first successfully completed process of this type in Poland.

The multidisciplinary CMS team’s advice on the aforementioned transactions included – in addition to transactional lawyers – lawyers specialising in regulatory advice for the insurance sector: Ewa Świderska, Head of the Insurance Practice in Poland, and Sylwia Raszplewicz-Czyżewska.

“The involvement of the CMS team in these transactions once again confirms that CMS offers advisory services at the highest level, both in terms of M&A transactions and regulatory advice, and international transactions,” emphasises Ewa Świderska, Head of the Insurance Practice at CMS Poland.
