CMS advises Partners Group on acquisition of majority stake in VSB Group, a full-service provider of renewable energy

Hamburg – Swiss investment manager Partners Group has acquired a majority of the shares in the VSB Group, a full-service provider in the renewable energy sector. Details of the transaction were not disclosed. The transaction is currently awaiting approval from the relevant authorities. The deal is expected to close in the first half of 2020.

As on previous occasions, an international CMS team led by partners Dr Holger Kraft and Dr Eckart Gottschalk advised Partners Group on all legal aspects of the transaction. In addition to the acquisition of the shares and associated due diligence, the advice included preparing and negotiating the transaction documentation and drafting the shareholder agreement. 

Partners Group is a global private markets investment manager with approximately $94 billion of assets under management in private equity, private real estate, private infrastructure and private debt.

Dresden-based VSB is a full-service provider in the renewable energy sector. Its core business is developing wind farms and photovoltaic parks internationally as well as handling operation, maintenance and repair. According to the company’s own figures, it has constructed more than 600 wind power and photovoltaic systems since 1996, with an installed capacity of around 900 MW and total investment of around EUR 1.3 billion. The group and its affiliated companies employ 300 people across 19 locations.
