CMS advises SYNLAB on the sale of parts of its Eastern European laboratory diagnostics business

Stuttgart – SYNLAB International GmbH, a leading provider of medical diagnostics in Europe, has sold parts of its business activities in Eastern Europe, i.e. the SYNLAB entities in Croatia, North Macedonia, Romania, Slovenia, Türkiye and Cyprus, to Medicover Group. The buyer, Medicover Group, is a European healthcare and diagnostic services company and operates a large number of outpatient clinics, hospitals, laboratories and blood collection points. The transaction is part of SYNLAB's overarching strategy to densify its network and focusing on countries that offer attractive strategic perspectives for SYNLAB Group's further development.

A CMS team headed by lead partner Dr Christoph Lächler provided comprehensive legal advice to SYNLAB International on the entire transaction. Apart from the purchase agreement documentation, the conclusion of an additional agreement on transitional services, which will be provided by the SYNLAB Group after the closing of the transaction, was a key aspect of the mandate. With regard to points of contact with Croatian, North Macedonian, Romanian, Slovenian and Turkish law, the CMS Germany team was supported by the local CMS offices in Zagreb, Skopje, Bucharest, Ljubljana and Istanbul. Dr Fabian Walla, Group General Counsel, and Dr Peter Macheiner, Head of Legal M&A and Procurement, at SYNLAB in Munich, acted as in-house counsel.

SYNLAB is a long-standing client of CMS and regularly relies on the expertise of the Corporate/M&A team led by Dr Christoph Lächler, most recently on the sale of its Lithuanian division to Affidea Lietuva UAB and the sale of its veterinary diagnostics division, SYNLAB VET, to a subsidiary of the US Mars Group.
