CMS advises Krone Group on investment in Schwarzmüller Group

Düsseldorf, 01.07.2024 – CMS has advised the Krone Group on all legal aspects of its investment in Austria’s Schwarzmüller Group, a major manufacturer of special-purpose vehicles in the commercial vehicle industry with annual sales of EUR 390 million and 1,950 employees. The core team comprised the two CMS partners Dr Ernst-Markus Schuberth in Germany and Alexander Rakosi in Austria together with senior associates Marie-Christine Lidl in Austria and Ole Weyand in Germany. The team’s advice included preparing comprehensive due diligence involving advisors from a number of different jurisdictions (Germany, Austria, Hungary, Czech Republic, Serbia, Ukraine, Croatia, Bosnia). The team also advised on the transaction documentation and negotiation as well as on competition law aspects.

The partnership will enable the two companies to boost the joint expansion of their production networks and to establish extensive service options by offering a complementary product range. Approval of the equity investment is expected soon from the competition authorities, allowing Krone and Schwarzmüller to start on a shared journey into a future characterised by a strong presence in the European market.
