Warsaw-listed stock corporation Grupa Azoty S.A. has entered into a conditional share purchase agreement for the acquisition of COMPO EXPERT group, headquartered in Münster, Germany, from XIO group, a London-headquartered private equity firm, following a competitive bidding process. The closing of the transaction is subject to certain conditions such as approval from merger control authorities and at the general shareholders' meeting of Grupa Azoty S.A.
A team of CMS lawyers, including the lead partners Ralf Kurney and Igor Stenzel, has advised Grupa Azoty throughout the transaction, including coordinating legal due diligence in twelve jurisdictions with CMS offices and firms of the World Law Group.
Further, CMS has also advised Grupa Azoty on the bidding process and on antitrust issues and with the Grupa Azoty team has jointly the negotiations on the share purchase agreement.
