Sara joined CMS Francis Lefebvre in 2019. She previously worked 4 years in the Corporate / M&A team at Herbert Smith Freehills LLP in Paris.

Sara assists listed and unlisted companies with legal issues relating to corporate law, corporate governance and compliance with stock market regulations. She also assists companies with complex reorganizations (mergers, demergers, spin-offs, etc.), both nationally and internationally. Her expertise also includes advising on CSR issues.

Sara speaks fluent English.

Its expertise covers the following areas in particular:

Corporate and securities law advice to listed companies: compliance with AMF regulations, executive compensation issues, corporate governance structuring, preparation of shareholders' meetings, preparation of universal registration documents.
Advice on domestic and cross-border reorganizations: mergers, contributions, demergers, transfers of headquarters, etc.
Advice on equity transactions: capital transactions, share issues, share buybacks, etc.
CSR consulting, particularly on issues and challenges related to the transposition of the CSRD directive.
Advice on the structuring of shareholder structure: shareholders’ agreements, employee/manager shareholding
